These Terms and Conditions apply to the Site www.kapitalminds.ro owned by Kapital Minds.

Kapital Minds reserves the right to make changes to the content of this site, as well as to these Terms and Conditions, without any prior notice to Users. In case of divergence or disagreement between the Company and the User, the Terms and Conditions valid at the time of use will apply. www.kapitalminds.ro

‍“Site” — online platform www.kapitalminds.ro“
"Document” — this version of the Terms and Conditions;
“Content” comprises the following elements:
a. all information available on the Site www.kapitalminds.ro which can be visited, viewed or otherwise accessed by electronic means;

b. the content of any e-mail sent to Internet Users interacting with the Website by Kapital Minds by electronic means and/or any other means of communication available;

c. any information communicated to the User by any means by an employee of Kapital Minds, according to the contact information specified by that User;

d. data relating to Kapital Minds or other privileged data of the Company.
“User” — the natural person who navigates the Site or interacts, in various forms, with it and has access to the Content;
“Personal data“- any information concerning an identified or identifiable natural person (”data subject“). Represents personal data (non-exhaustive list):name and surname of the person, e-mail address, telephone number, etc. ;
“Personal data controller“means the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes and means of processing personal data. With regard to the Website, the data controller is represented by Kapital Minds;
“Consent of the data subject” - any manifestation of the free, specific, informed and unambiguous will of the data subject by which the data subject agrees, by means of an unequivocal statement or action, that personal data concerning him be processed;
“Processing” - any operation/ set of operations performed/e on personal data (with or without the use of automated means), namely: collection, recording, organization, structuring, storage, adaptation, modification, extraction, consultation, use, disclosure, dissemination, making available, alignment, combination, restriction, deletion destruction, destruction, etc.

The document establishes the terms and conditions of use of the Site/Content by the User. The User is asked to carefully review this Document in order to prevent any undesirable/unpleasant consequences, which may be assessed by him/her as having a negative impact on his/her data and/or information provided to Kapital Minds.

The website contains information, presentations and articles on the range of valuation services offered by Kapital Minds, as well as on other related areas of interest.

To request a quote, the User will access the “Form” section available on the website, in the headings related to the valuation services offered by Kapital Minds. Within the form, the User will have to fill in the fields related to name, phone number and message, and will be contacted by a Kapital Minds representative in a timely manner, respectively within 1-5 business days.

Through the Site you can download useful Visual Identity and Marketing files of Kapital Minds, available to Kapital Minds members, in the specific section, by logging into the Kapital Minds Member account.

The user can schedule an appointment by filling out the form available in the specific section and will be contacted by a Kapital Minds representative to confirm the appointment.

In case of redirection to a third party website, these Terms and Conditions will no longer apply to the User's navigation on that site. Thus, from the moment of redirecting the User, Kapital Minds does not assume responsibility under any circumstances regarding the policies, terms and conditions applicable on the respective online platform.

By using the Website, the User is solely responsible for all activities arising from its use. It is also liable for any material, intellectual, electronic or other damages caused to the Website and/or Content made available by Kapital Minds, in accordance with applicable national legislation.

If the User does not agree with these Terms and Conditions and/or does not accept this Document, he has the opportunity to send an e-mail to the e-mail address: contact@kapitalminds.ro and state the reasons and/or operating requirements for the desired changes.

The User may at any time revert to his decision not to agree and/or not to accept the Document.

The name of the Site and its graphic symbols are the property of Kapital Minds or, as the case may be, the Company owns a right to use them, so these elements may not be taken, copied or used without the written consent of their owner/owner.

All Content presented or displayed within the Site including, but not limited to: text, graphics, photographs, images, moving images, sound and illustrations, etc. is the property of Kapital Minds. All elements are protected by copyright, copyright and other regulations in the field of intellectual property rights.

The Kapital Minds logo is a registered trademark. It can only be used with the agreement of Kapital Minds. For media and advertising purposes.

Kapital Minds strongly urges you to carefully review the above-mentioned document for the correct use of the Logo and to avoid possible violations of the intellectual property rights held by the Company by alteration/ alteration/ use for purposes other than media and advertising or as permitted by applicable legislation or another agreement between Kapital Minds and User.

Kapital Minds declares at its sole responsibility that all content on the website www.kapitalminds.rois original and uses resources, if any, (product images, video, text, specifications, etc.) with the consent of the source, without violating Law no. 8/1996 on copyright and related rights. Reporting of cases of copyright infringement will be made in writing to the e-mail address contact@kapitalminds.ro. The User may not modify any of the ante-mentioned materials and may not copy, distribute, transmit, display, perform, reproduce, publish, license, create works derived from them, transfer or sell information or works contained on the Site www.kapitalminds.ro.

Except as permitted by applicable law and herein, the User is responsible for obtaining permission before using any copyrighted material or other intellectual property rights that is made available by Kapital Minds.

Any Content to which the User has and/or obtains access by any means is covered by the Document unless the Content is accompanied by a specific and valid use agreement between Kapital Minds and the User and without any implied or express warranty on the part of Kapital Minds with respect to that Content.

Communications of any information or data in the form of a message, text, image, audio and/or video file or any other type of material, regardless of the manner of publication or transmission thereof (public or individual), by any natural or legal person, other than Kapital Minds, are made under the sole responsibility of the person to whom these materials belong, the Company is not in any Responsible for the content or manner in which such communications are published.

If Kapital Minds grants the User the right to use, in the form described in a separate use agreement, certain Content to which the User has or obtains access under this agreement, this right extends only to that Content defined in the agreement, only for the period of its or such Content's existence on the Site or the period defined in the agreement, under the terms defined herein, in where they exist and do not constitute a contractual commitment on the part of Kapital Minds for the respective User or any other third party who has/obtains access to this transferred content, by any means and who may be or is harmed in any way by such Content, during or after the expiration of the user agreement.

No Content transmitted to the User, by any means of communication (electronic, telephone, etc.)or acquired by it by accessing, visiting and/or viewing does not constitute a contractual obligation on the part of Kapital Minds and/or the employee of the Company, who mediated the transfer of the Content, if it exists.

Any use of the Content for purposes other than those expressly permitted by the Document/ provided for in a separate use agreement, where it exists/ by applicable law is prohibited.
The User is liable for any intellectual damage caused by the Site, the Content or any third party/partner/collaborator with whom Kapital Minds has concluded contracts, in accordance with the Romanian legislation in force.

Accessing the Site, using the information presented in it, visiting the pages or sending emails or notifications addressed to the Company may be carried out by means of electronic communication, telephone or any other means of communication available to the parties, thus assuming that the User consents, in turn or to receiving notifications from Kapital Minds in electronic and/or telephone form including communications by e-mail or through advertisements posted on the Site.

Kapital Minds reserves the right not to respond to all requests of any kind, especially if they are groundless/abusive, received by any means of communication (electronic, telephone, etc.).

The User expressly declares that the contact details provided by sending them to the e-mail address contact@kapitalminds.ro belong to the user (for example: first and last name, email address, telephone number, etc.)and that this data may be used by the Company in its communications with the User, for the purpose of solving any requests, but also for providing additional information, at the request of the User.

Confidentiality of personal data
Kapital Minds makes every effort to ensure that it protects and respects the confidentiality of personal data belonging to its Users, by implementing appropriate technical and organizational measures, in accordance with the requirements of Regulation no. 679/2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/2016 CE (General Data Protection Regulation)and the Law no. 190/2018 on the implementation of the General Data Protection Regulation and good practices in the field of data processing.

The information provided by the User will be stored by Kapital Minds in electronic form and will not be provided to any third party other than those directly involved in the provision of specific services of the Site www.kapitalminds.ro.

For more details on the processing of personal data that the Company carries out in the context of browsing the Site or interacting with it, by mail/electronic correspondence, the data subject will consult Privacy Policy displayed on the Site.

Newsletters
Receiving Newsletters and other alerts of this kind involves ticking the corresponding box within the form on the Site, commercial and informational communications being transmitted only on the basis of the express consent of the Client. Thus, the User becomes a Subscriber and accepts unconditionally including these Terms and Conditions if he has not previously expressed his consent to receiving such communications in another way.

Subscribing to the Newsletter offered by Kapital Minds can only be made if the User is 18 years of age at the time of submitting the intention to subscribe or has the consent of the legal representative in this regard and is not subject to payment of a fee or registration of a user account.

The personal data used by Kapital Minds for sending newsletters will be used by the Provider only for the purposes described in the Privacy Policy, and in accordance with its provisions, document available for consultation on the Site.

Opting out of receiving the Newsletter by the Subscriber can be done at any time, easily, by withdrawing consent to the processing of his/her data for marketing purposes and by expressing the intention to unsubscribe, as follows:
a. using the specific unsubscribe option within any newsletter received;
b. by contacting the Provider by e-mail and transmitting the intention to unsubscribe from the Newsletter and without any subsequent mutual obligation of either Party or without any Party being able to claim damages to the other.
Opting out of receiving the Newsletter does not imply renunciation of the expressed consent for this Document, this waiver having effects only for the future, after the communication of the intention to withdraw the consent.

Kapital Minds will not be bound by the obligation to transmit the Subscriber's Newsletter.

The Provider shall not include in its newsletters transmitted to the Subscriber any type of advertising material in the form of content referring to a third party that is not a partner of Kapital Minds.

Kapital Minds does not ask its Users by any means of communication (email/phone/SMS) for information regarding confidential data, accounts or personal passwords.

The User assumes full responsibility for the disclosure of his/her confidential data to a third party.

The Provider disclaims any liability in the event that a User would/is harmed in any form by a third party claiming to be/represents the interests of the Provider. The User shall inform the Provider of such attempts using the contact details.

Kapital Minds does not promote spam.

Any User who has explicitly provided his/her email address on the Site may choose to delete it.

Communications made by Kapital Minds through electronic means of distance communication (i.e. e-mail) contain complete and conforming identification data of the sender or links to them at the time of submission of the Content.

The following purposes achieved or not shall be considered as an attempt to defraud the Site/Content and/or the Provider and, in this case, criminal investigation will be initiated against the person (s) who (u) attempted to or (u) achieved this purpose (s):
• to access the data of any type of other User through the use of the Kapital Minds member account or by any other method;
• to alter or otherwise alter the content of the Site or the Content sent by any method by the Provider to the User;
• to affect the performance of the server (s) on which the Site runs;

The user is solely responsible for the correctness of the information entered in the forms on the site.
Kapital Minds is not liable for errors or omissions that may interfere with the drafting or presentation of materials on the site, which are not considered essential information under the law.

Kapital Minds does not guarantee the User access to the Site or the Service.

Kapital Minds is not responsible for the content, quality or nature of other sites accessed through links in the Content, regardless of the nature of such links. For these sites, the entire responsibility lies with their owners.

The Provider is exempt from any liability in the case of the use of the Site and/or the Content transmitted to the User or the Client by any means (electronic, telephone, etc.), through the Site, e-mail or an employee of Kapital Minds, when such use of the Content may actually cause damage of any kind on the part of the User, the Client and/or any third party involved in this transfer of Content It's out.

Kapital Minds shall not be held liable in any way to any Client who uses the Site or the Content, other than to the extent of the articles constituting the Terms and Conditions.

The Provider assumes no responsibility for potential malware that may infect your computer or other goods by accessing or using this Site or downloading any material, information, text, video or audio from it.

The Provider shall not be liable for the coverage of any third party claims, of any kind, which may arise in relation to the use, copying or falsification of the Site or its contents or any other related Site by third parties, not authorized by Kapital Minds, whether it has been informed, known or should have known of this possibility.

Kapital Minds does not offer any direct or indirect warranties such as:
• The Service will be in accordance with the requirements of the User;
• The Service will be uninterrupted, secure or error-free of any kind;
• The Services will correspond to the subjective requirements or expectations of the User.

By using/ visiting/viewing, etc., of the Site and/or any Content sent by Kapital Minds to the User by accessing and/ or sending by any means (electronic, telephone, etc.), it agrees at least with these Terms and Conditions.

This Agreement is considered concluded in Romania and, accordingly, is governed by the legal provisions applicable in the territory of Romania. Any dispute regarding the Document that may arise between the User and Kapital Minds will be resolved amicably. If an amicable settlement of the dispute is not possible within 30 days of the registration of the complaint, it will be resolved by the competent court at Kapital Minds headquarters.

Kapital Minds shall not be liable for any losses, costs, lawsuits, claims, expenses, etc., if they are directly caused by non-compliance with the Terms and Conditions.

If any of the above clauses are found to be null and void, for whatever reason, this clause will not affect the validity of the other clauses of this Agreement.

Kapital Minds reserves the right to make any changes to the provisions of this Document, as well as any changes to the Site/its structure, including changes that may affect the Site and/or any Content, without prior notice to the User to this effect.

Kapital Minds will not be held responsible for any errors occurring on the Site for any reason, including changes, settings, etc., not made by the Site administrator.

Kapital Minds reserves the right to insert advertising banners of any nature and/or links on any page of the Site, subject to applicable legislation.
